Public offer (contract for the provision of services for distance learning of English language)

Cyprus, July 11, 2017

The company "Langroom LTD" (hereinafter referred to as "Skyeng"), which is a non-resident of the Russian Federation, registered under the legislation of the Republic of Cyprus under number 330757, as the licensee of the online English language training program Skyeng, publishes this Contract for providing distance learning services of English language (hereinafter referred to as "Service"). This Agreement is a public contract - offer addressed to any person who accesses the Internet resource www.skyeng.eu (the "Site") and services provided through the Site (hereinafter referred to as the "User").

1. Acceptance and Subject of the Agreement

1.1. The use of the service by the User is governed by this Agreement and is legally binding between the User and Skyeng. The subject of this Agreement is the use by the User of the Site and the provision to the User of services for conducting distance classes in English. Skyeng conducts distance classes in English subject to payment by the User.

1.2. The provisions of this Agreement, as well as other rules, conditions and requirements posted on the Site, determine the use of the Site and services, as well as determine the rights and obligations of the User and Skyeng. All such rules, conditions and requirements are considered to be included in this Agreement by reference and are an integral part of it.

1.3. When the User pays for the service offered on the Site and / or the use of the Service or its individual functions, the User is considered to have accepted this Agreement in full, without any reservations or exceptions (User acceptance). If the User does not agree with any of the provisions of this Agreement, the User shall not be entitled to use the Service.

1.4. This Agreement shall enter into force from the moment the User expresses consent with its terms and conditions in the manner provided for in Clause 1.3 of the Agreement. After its entry into force, the Agreement can be changed by Skyeng without any special notification, the new version of the Agreement comes into effect from the moment of its posting on the Site and is effective from the moment of such placement, unless otherwise provided by such a new edition of the Agreement.

2. Rights and Obligations of the parties

2.1. Skyeng is committed to:

2.1.1 In accordance with the terms agreed by the Parties, provide services to the User properly in accordance with the terms of this Agreement.

2.1.2. Not to disclose confidential information and data provided by the User in connection with the implementation of this Agreement, not to disclose or disclose such facts or such information (except for information of a public nature or information provided by the User upon registration on the Site) to any third party without the User's prior written consent.

2.2. Skyeng has the right:

2.2.1. To use the services of any individuals and legal entities, in order to timely and qualitatively fulfill the obligations under the Agreement.

2.2.2. Require the User to timely pay for the cost of the Services in accordance with the terms of this Agreement.

2.2.3. Skyeng has the right to record audio-video sessions for the purpose of quality control.

2.2.4. Use the e-mail address, phone number, Skype login and other data that the User provided during the registration on the Site, for sending information and promotional materials to the User, including with the purpose of informing the User about Skyeng activities and the progress of the Contract. By registering on the Site and / or using Skyeng services, the User agrees to the processing of his personal Skyeng data or Skyeng's third parties involved for the purpose of fulfilling the terms of this Agreement.

2.2.5. Deny the User the provision and renewal of services without explaining the reasons for the refusal.

2.3. The User agrees to:

2.3.1. Provide Skyeng with all the information and data requested on the Site or directly Skyeng, necessary for the provision of services.

2.3.2. Not to disclose confidential information and other data provided by Skyeng in connection with the implementation of this Agreement, not to disclose or disclose such facts or information (except for information of a public nature) to any third party without the prior written consent of Skyeng.

2.4. The user has the right to:

2.4.1. Require Skyeng to fulfill its obligations under this Agreement on time and with proper quality, unless otherwise provided by the terms of this Agreement. The lesson is considered to be properly conducted, if within 1 (one) hour from the moment of its holding, the User does not inform Skyeng about the existence of a claim for the terms and quality of the training.

2.4.2. Send a request to replace the teacher with the reason for such a request. In this case, Skyeng has the right to make a decision to replace the instructor within 48 hours from the date of receipt of the request.

3. Transfer of Lessons and Non-attendance

3.1. Transfer or cancellation of the lesson by the User can be carried out not later than 8 (eight) hours before the beginning of the lesson. Failure to comply with this deadline by the User means that the User agrees to the proposed time of the session, and in case of missing such a lesson, the payment for the lesson is not returned due to the failure of the User to attend the lesson. The number of possible postponements or cancellations depends on the intensity of the user's schedule. The User is entitled to:

transfer or cancellation of 1 (one) lesson per month with a schedule of lessons 1 (one) lesson per week;

transfer or cancellation of 3 (three) classes per month with a schedule of lessons of 4 (four) or more lessons per week.

transfer or cancellation of 2 (two) lessons per month with a schedule of 2 (two) and 3 (three) lessons per week.

The introductory lesson is not payable by the User, however, upon its cancellation by the User, Skyeng has the right to refuse to provide the User with a repeated introductory lesson.

3.2. The teacher has the right to transfer classes (in case of illness and for other valid reasons), notifying the User about this in no less than 24 hours. Skyeng has the right to consider the User's request for a change of teacher in the event that the teacher, according to the User, transfers classes too often.

3.3. If the User is not available for the teacher's call during the time set for the lesson, the teacher repeats attempts to contact the User (at least three times). The start time of the lesson is set in the schedule. If a teacher cannot contact the User, the class is considered to be held and is paid at a rate of 100%.

3.4. If the user does not receive a call from the teacher at the scheduled start time (plus 5 (five) minutes), he must immediately contact Skyeng in the manner provided for in paragraph 5 of this Agreement. Classes that are not held because of the teacher's fault are transferred in full to another convenient time for the User.

3.5. Skyeng is not responsible for the impossibility or poor-quality rendering of the service due to the lack of necessary software or technical problems with the Internet.

3.5.1. Minimum technical requirements:

Operating system: Windows 7/8 / 8.1 / 10, Mac OS X 10.9, 10.10, 10.11;

Installed Internet browser Google Chrome last stable user version with enabled auto-update;

RAM: from 2 GB and above, the processor: 2 core processor from 1.8 GHz;

Presence of a microphone;

Internet connection from 1 Mb / s.

3.5.2. Recommended technical requirements

Operating system: Windows 8 / 8.1 / 10, Mac OS X 10.10, 10.11;

Installed Internet browser Google Chrome last stable user version with enabled auto-update;

RAM: 4 GB or higher;

Processor: 2 core processor from 2.2 GHz;

Presence of a microphone and a video camera;

Internet connection from 35 Mb / s.

3.5.3. Workplace setup

Close all programs that can occupy most of the Internet channel (such as file sharing);

To conduct the lesson, the User must provide access to the microphone and camera on his technical device.

4. Suspension of classes. Refusal to continue classes

4.1. The User may suspend the provision of English language training services while maintaining a reservation of the User's schedule, subject to the following conditions:

4.1.1. The duration of the break in classes should not be more than 21 (twenty-one) calendar days;

4.1.2. From the date of the end of the previous suspension, not less than 90 (ninety) calendar days have passed;

4.1.3. at the time of the commencement of the suspension (the day of the last session prior to the suspension), the User must pay at least 5 (five) lessons for the future period.

4.1.4. The User agrees to inform Skyeng of the exact date and time:

Of the last session before the suspension;

Of the first lesson after the suspension.

4.3. In the event the User needs to re-suspend classes, but 90 (ninety) calendar days have not passed since the end of the previous suspension, the User can suspend classes by notifying Skyeng 24 hours before the next session, and the schedule for the User is not saved. When the sessions resume, the User and Skyeng re-define the schedule.

4.4. Skyeng has the right to suspend the provision of services on its own initiative on the days of official holidays in the User's country or Skyeng location, having previously notified the User about it by sending messages by e-mail or notifying the User by phone.

4.5. Skyeng has the right to replace the teacher if there are valid reasons (temporary incapacity to work, vacation, other circumstances). Skyeng informs the User about the replacement of the teacher by e-mail or by phone. In the event that the User refuses to engage with another teacher, the User has the right to suspend the provision of classes in the manner provided for in this Agreement.

5. Order of notifications

5.1. Ways of notifications about the transfer or cancellation of classes:

5.1.1. sending a letter to the e-mail of the teacher or user, depending on who is transferring or canceling the lesson;

5.1.2. a message about the transfer/ cancellation of a lesson to the manager of Skyeng by phone indicated on the site in the section "Contacts" at https://skyeng.ru/contacts;

5.2. Phone messages about transfer/ cancellation are only accepted during business hours. Sent reports about transfer / cancellation of classes are considered not accepted.

5.3. In order to inform about the increase in the number of classes, the change in the duration of the classes, the change of the teacher, the suspension of the classes, the User should write Skyeng to the following e-mail address: study@skyeng.ru or make a phone call.

6. Cost of services and payment procedures

6.1. The cost of Skyeng services and possible methods of payment are published by Skyeng on the Site at https://cabinet.skyeng.ru/payment

6.2. The user pays for Skyeng services on a 100% prepayment basis. If the User has one paid lesson, the User is obliged to pay for the subsequent lessons until the beginning of the class following the paid lesson. In case of non-payment by the User, Skyeng has the right to cancel the schedule of the User's classes, reserving lessons on this schedule with other users.

6.3. Skyeng can unilaterally change the cost of services by posting information on the Site at https://cabinet.skyeng.ru/payment. At the same time, the cost of the lessons previously paid by the User is not subject to change.

6.4. The date of payment is the date of receipt of funds on Skyeng account or accounts of third parties entitled to collect funds receivable in favor of Skyeng.

6.5. The User is solely responsible for the correctness of payments made and payment of taxes applicable. In the event that the User has the right to receive tax deductions in accordance with the applicable legislation in connection with the receipt of educational services and has sent a request to Skyeng for the provision of documents confirming the provision of educational services, Skyeng provides the User with the following documents: documents , confirming payments made by the User in favor of Skyeng and a certificate of the location of Skyeng. In the event that Skyeng's documents are not sufficient to the User, Skyeng is entitled, but not obligated, to consider the issue of compensation to the User of a portion of the cost of services commensurate with the value of the applicable tax deduction applicable to the User.

6.6. The user pays for related services of third parties independently (including communication services, Internet, etc.) required to receive Skyeng services.

6.7. The service for payment for Skyeng services is provided by ECOMMPAY LIMITED, 5th Floor Green Park House, 15 Stratton Street, London, W1J 8LQ, registration number 08580802 (hereinafter referred to as the "Processing Center") operating under the agreement with Skyeng. All rights and obligations arising in the course of settlements arise directly between the processing center and the payer.

6.8. Skyeng does not process the personal data of the payers provided for settlements through the Processing Center. Skyeng does not store data of bank cards of payers on its resources, including servers, cloud technologies, etc.

7. Responsibility of the parties

7.1. Responsibility for non-fulfillment or improper performance of obligations under this Agreement is determined in accordance with the legislation of the Skyeng country of registration. Skyeng liability for lesson cancellation is limited to the return of money previously paid by the User for the canceled class, or the transfer of the canceled class to a different time.

7.2. In the event that the User is given additional classes as a bonus or promotion, the User shall not be entitled to demand monetary compensation for such activities, in the event that they are not held for any reason or in the event of the User's refusal to receive such additional classes.

7.3. In the event that the User does not use his existing gift certificate for Skyeng classes within the time period specified in such certificate, the training services based on such certificate are deemed to be properly provided by Skyeng.

7.4. The User has the right to terminate this Agreement by refusing to receive classes, provided that Skyeng receives a reasonable cancelation of services. In this case, Skyeng has the right to consider returning funds paid by the User in the amount equal to the amount of unfulfilled Skyeng obligations, with deduction of expenses for bank transfers.

7.5. The term for the return of funds to the User in connection with the termination of this Agreement by agreement of the parties, or the initiative of one of the parties, is 30 calendar days.

7.6. To return funds, the User agrees to provide Skyeng:

the number of the card issued on the territory of the CIS countries (except for City Bank cards);

BIC, bank account number and full name of the account holder for the account opened on the territory of the Russian Federation; PayPal account.

7.7. In the event that after the termination of this Agreement, the User decides to resume classes, the cost of classes will be determined by the tariffs valid at the date of renewal. Skyeng has the right to consider keeping the old tariffs for the User that were valid before the date of the resumption of classes, provided that the Skyeng account contains the balance of the User's funds for a lesson that was not held due to termination of the Agreement.

8. Other conditions

8.1. All classes take place on a specially developed interactive platform Vimbox or using Skype. Upon the results of the User's passing of the appropriate language level, Skyeng issues the User a document about the User's achievement of a certain level of English proficiency. Skyeng does not guarantee the User's mastery of the appropriate level of English in perfection, due to the fact that the mastery of the relevant language level directly depends on the time spent by the User to learn the language, the abilities of the User and the efforts made by the User in learning the language (including the need to memorize words and expressions , listening to teaching materials, etc.).

8.2. The Parties shall not be liable for full or partial non-fulfillment of their obligations under this Agreement, if such failure was a consequence of force majeure circumstances, namely: floods, other natural disasters, military actions, decisions and actions of public authorities or other events. A certificate issued by the authorized bodies shall be a proper confirmation of the existence of force majeure circumstances and their duration for the Parties.

8.3. All disputes or disagreements arising between the Parties under this Agreement or in connection with it are resolved through negotiations between them. The party whose right is violated shall send a written claim (request) to the other party via electronic communication. If within 15 (fifteen) calendar days the Party that sent the claim has not received a response to it, and if within 15 (fifteen) calendar days from the receipt of the first response to the claim, the Parties have not reached any agreements, the Party , whose right is violated, has the right to appeal to the court at the jurisdiction of Skyeng to defend its rights.

8.4. Recognition by a court of any provision of this Agreement as invalid or unenforceable does not entail invalidity or non-fulfillment of other provisions of the Agreement.

8.5. Skyeng has the right to assign the rights and obligations under this Agreement to third parties, and the User hereby gives his consent to such assignment of rights and obligations. Also Skyeng has the right to charge third parties with full or partial provision of services to the User.

All rights and obligations arising in the course of settlements arise directly between the processing center and the payer.

7.3. In the event that the User does not use his existing gift certificate for Skyeng classes within the time period specified in such certificate, the training services based on such certificate are deemed to be properly provided by Skyeng.

7.4. The User has the right to terminate this Agreement by refusing to receive classes, provided that Skyeng receives a reasonable cancelation of services. In this case, Skyeng has the right to consider returning funds paid by the User in the amount equal to the amount of unfulfilled Skyeng obligations, with deduction of expenses for bank transfers.

7.5. The term for the return of funds to the User in connection with the termination of this Agreement by agreement of the parties, or the initiative of one of the parties, is 30 calendar days.

7.6. To return funds, the User agrees to provide Skyeng:

the number of the card issued on the territory of the CIS countries (except for City Bank cards);

BIC, bank account number and full name of the account holder for the account opened on the territory of the Russian Federation; PayPal account.

7.7. In the event that after the termination of this Agreement, the User decides to resume classes, the cost of classes will be determined by the tariffs valid at the date of renewal. Skyeng has the right to consider keeping the old tariffs for the User that were valid before the date of the resumption of classes, provided that the Skyeng account contains the balance of the User's funds for a lesson that was not held due to termination of the Agreement.

8. Other conditions

8.1. All classes take place on a specially developed interactive platform Vimbox or using Skype. Upon the results of the User's passing of the appropriate language level, Skyeng issues the User a document about the User's achievement of a certain level of English proficiency. Skyeng does not guarantee the User's mastery of the appropriate level of English in perfection, due to the fact that the mastery of the relevant language level directly depends on the time spent by the User to learn the language, the abilities of the User and the efforts made by the User in learning the language (including the need to memorize words and expressions , listening to teaching materials, etc.).

8.2. The Parties shall not be liable for full or partial non-fulfillment of their obligations under this Agreement, if such failure was a consequence of force majeure circumstances, namely: floods, other natural disasters, military actions, decisions and actions of public authorities or other events. A certificate issued by the authorized bodies shall be a proper confirmation of the existence of force majeure circumstances and their duration for the Parties.

8.3. All disputes or disagreements arising between the Parties under this Agreement or in connection with it are resolved through negotiations between them. The party whose right is violated shall send a written claim (request) to the other party via electronic communication. If within 15 (fifteen) calendar days the Party that sent the claim has not received a response to it, and if within 15 (fifteen) calendar days from the receipt of the first response to the claim, the Parties have not reached any agreements, the Party , whose right is violated, has the right to appeal to the court at the jurisdiction of Skyeng to defend its rights.

8.4. Recognition by a court of any provision of this Agreement as invalid or unenforceable does not entail invalidity or non-fulfillment of other provisions of the Agreement.

8.5. Skyeng has the right to assign the rights and obligations under this Agreement to third parties, and the User hereby gives his consent to such assignment of rights and obligations. Also Skyeng has the right to charge third parties with full or partial provision of services to the User.
